Legal Advisor – Banking

About the role

The International Office of AD Ports Group is seeking a Legal Advisor specialized in banking and finance to support its global expansion. The role will provide expert legal counsel on cross‑border financial transactions, ensuring compliance, risk mitigation, and strategic alignment across multiple jurisdictions.

Key responsibilities

• Provide timely legal advice on corporate finance, project finance, debt and equity capital market issuances, and M&A financing.
• Draft, review, and negotiate documentation for bilateral, syndicated and club loan transactions, including credit facilities, intercreditor and security agreements, guarantees and pledge agreements.
• Prepare and review bond and sukuk issuance documents such as offering memorandums, prospectuses, trust deeds and underwriting agreements.
• Support asset monetisation initiatives, internal funding arrangements and divestments.
• Manage relationships with external counsel to ensure cost‑effective, high‑quality legal support.
• Liaise with internal teams to finalise commercial and legal terms for financial transactions.
• Advise on multi‑jurisdictional banking laws, structured finance, sovereign lending and compliance with international capital market regulations (SEC, FCA, ESMA).

Required profile

• Qualified lawyer with substantial experience in banking, finance and capital markets.
• Proven ability to work on complex, cross‑border transactions and multi‑jurisdictional regulatory frameworks.
• Strong analytical and drafting skills, with a track record of managing external counsel.
