Manager Deal Advisory – Transaction Services (Financial Due Diligence)

About the role

The Manager – Deal Advisory / Transaction Services (Financial Due Diligence) will lead buy‑side and sell‑side due diligence engagements for energy and natural resources transactions. Based in Abu Dhabi, the role supports private equity, corporate and sovereign investors by delivering rigorous financial analysis and actionable insights.

Key responsibilities

• Lead end‑to‑end execution of financial due diligence engagements, including planning, scoping, data request management and client presentations.
• Perform and oversee analysis of quality of earnings, normalized EBITDA, net debt, working capital, cash flow generation and other key financial metrics.
• Evaluate historical financial performance, business trends and earnings sustainability, and assess management forecasts, business plans and financial models.
• Translate complex financial analyses into clear, commercially relevant insights for investors.
• Prepare high‑quality due diligence reports and highlight critical transaction issues with practical recommendations.
• Coordinate with valuation, tax, strategy, operational, ESG and other specialist teams to deliver integrated transaction advice.

Required profile

• Extensive experience leading buy‑side and sell‑side financial due diligence engagements of various sizes.
• Strong understanding of deal drivers, transaction risks and their impact on valuation and structure.
• Demonstrated expertise in energy, natural resources and infrastructure sectors, including oil & gas, renewables and capital‑intensive assets.
• Ability to assess sector‑specific risks such as commodity price exposure, regulatory frameworks and project‑based business models.
• Proven communication skills to present findings to senior stakeholders.
