Senior Legal Counsel

About the role

Our client, a diversified multinational holding company, is looking for a commercially focused Senior Legal Counsel to join its Dubai‑based Group Legal function. Reporting to the Group Legal Director, you will own corporate governance, shareholder matters, international commercial contracting and cross‑border transactions across multiple jurisdictions.

Key responsibilities

• Draft, review and manage shareholder agreements, subscription agreements and other corporate documentation; support share issuances, transfers, buybacks and capital restructurings.
• Coordinate board meetings, shareholder approvals and governance documentation for subsidiaries in the UAE, UK, USA, South Africa, Australia, New Zealand and other markets.
• Draft, negotiate and review a wide range of international commercial agreements, including distributor, reseller, vendor, consultancy, technology and service contracts.
• Prepare and maintain inter‑company agreements such as management services, cost‑sharing, IP licensing, employee secondment and cross‑border service agreements.
• Act as primary liaison with external law firms, manage legal budgets, develop templates, contract repositories and SOPs, and support legal technology implementation.
• Advise business leaders on legal, commercial and regulatory risks, review liability provisions, indemnities and insurance matters, and assist with dispute management and pre‑litigation strategy.

Required profile

• Bachelor’s degree in Law (LLB) or equivalent; admission to practice law in a recognised jurisdiction preferred.
• Post‑graduate legal qualification (LLM) advantageous.
• 8–12+ years of experience handling corporate governance, international commercial contracts and cross‑border transactions.
