Contract Corporate Lawyer – Office of the General Counsel (6 Months)

About the role

PwC Middle East's Office of the General Counsel (OGC) team advises client-facing teams on legal, structural and dispute-related matters, balancing risk with a commercial outlook. This is a 6-month contract for a corporate lawyer based in Dubai, working within the Internal Firm Services line of service under the Risk & Quality (R&Q) management level.

Key responsibilities

• Support senior OGC members, the ME Chief Risk Officer and the ME General Counsel on corporate, commercial and company secretarial matters across the Middle East.
• Manage corporate secretarial and compliance matters, including annual filings, board and general assembly meetings, licenses and actions needed to keep member firms in good standing.
• Advise on corporate structuring and restructuring, such as legal entity establishment, liquidations, changes of ownership and corporate amendments.
• Support commercial and transactional matters, including acquisitions and joint ventures, by drafting and reviewing documents, conducting due diligence and liaising with external counsel.
• Conduct legal research and give day-to-day advice on corporate matters, and update Global R&Q and OGC teams on significant adverse matters.
• Liaise with R&Q functions such as Independence, Compliance and AML, and build relationships with LoS R&Q leaders and partners.
• Lead on sensitive corporate and compliance matters and ensure compliance with PwC Network standards, policies and procedures.
