Senior Governance Specialist

About the role

The Senior Governance Specialist will design, implement and maintain ADNOC’s corporate governance framework, with a particular focus on the Delegation of Authority (DoA). The role ensures transparency, accountability and regulatory compliance across the Group.

Key responsibilities

• Monitor changes in corporate, functional and divisional governance, especially DoA, and update related policies and procedures.
• Provide technical advice on governance policy development, conduct research and prepare evaluations.
• Lead regular reviews, updates and drafting of governance frameworks that direct and control the ADNOC Group.
• Define and enforce the authority hierarchy, acting as a second line of defence for governance matters.
• Collaborate with internal stakeholders to offer guidance on governance issues and ensure awareness of best practices.
• Escalate identified risks, report breaches and work with auditors and regulators to meet reporting requirements.
• Manage day‑to‑day governance documents, policies, standards and framework amendments.
• Support the creation of training materials and prepare professional documentation such as memos, resolutions and amendments.

Required profile

• Extensive experience in corporate governance, compliance or related legal functions.
• Strong knowledge of delegation of authority models and regulatory requirements.
• Excellent analytical and research skills with the ability to translate findings into actionable policies.
• Proven ability to work cross‑functionally and build relationships with internal and external stakeholders.
