Senior Legal Counsel – Legal Business Development

About the role

Provide dedicated legal support to Business Development teams on power and water projects, focusing on Operations & Maintenance (O&M), PPP/PFI structures, and ACWA’s role as O&M provider across multiple regions.

Key responsibilities

• Lead negotiation and drafting of O&M Agreements, Long‑Term Service Agreements, Technical Services Agreements, and related consortium documentation.
• Support bid and transaction processes, including review of PPAs, concession agreements, NDAs, MoUs and legal due‑diligence in new jurisdictions.
• Ensure proper risk allocation and back‑to‑back structuring between OMA, PPA, EPC and LTSA contracts.
• Interface with lenders’ counsel on O&M‑related matters and assist with project‑finance conditions.
• Coordinate with BD commercial, technical, operations, corporate legal and external counsel under compressed timelines.

Required profile

• Bachelor of Laws degree with 5–8 years post‑qualification experience.
• In‑house or top‑tier law firm background in power and water sector, PPP/PFI or project‑financed infrastructure.
• Proven experience negotiating O&M contracts, PPAs, EPC and LTSA agreements.
• Ability to work independently on defined workstreams and manage multiple bids simultaneously.

Required skills

• Strong drafting and negotiation capability.
• Commercially pragmatic judgment and risk‑allocation expertise.
• Familiarity with back‑to‑back operational risk structuring.
• Experience with lender negotiations in project‑financed transactions.
