Corporate Counsel

About the role

Join the global legal team of 1inch, a leading DeFi ecosystem, as a Corporate Counsel. You will protect and expand the company’s intellectual property portfolio while supporting mergers & acquisitions, corporate reorganisations, and broader corporate legal matters across multiple jurisdictions.

Key responsibilities

• Manage and develop the global IP portfolio, including patents, trademarks and trade secrets.
• Advise on open‑source licensing, software IP, brand protection and train internal teams on related risks.
• Establish internal IP registration, review and risk procedures; coordinate global filings, enforcement and oppositions with external counsel.
• Provide IP structuring advice in group reorganisations and corporate transactions, including due diligence and post‑closing matters.
• Draft and negotiate IP assignments, licences, transition agreements and assess related risks in strategic deals.
• Coordinate cross‑border legal input with internal stakeholders and external advisers.
• Draft and review commercial, vendor and procurement contracts such as NDAs, service and licensing agreements.
• Support entity management, governance filings, board and shareholder processes, intercompany arrangements and funding documentation.
• Maintain legal‑entity databases, monitor legal developments and ensure compliance with corporate laws and regulations.

Required profile

• Minimum 7 years (84 months) of experience in corporate law, intellectual property and M&A.
• Proven ability to work with engineering, IT, finance and marketing teams across jurisdictions.
• Strong analytical skills and experience in risk analysis and corporate governance.
