General Counsel

About the role

We are seeking a General Counsel with dual bar admission in English common law and UAE law to become our first in‑house legal leader. The role sits at the intersection of technology, real estate and AI, supporting CASABOT’s corporate, contractual and governance frameworks as the company scales globally.

Key responsibilities

• Corporate governance and compliance across ADGM and DMCC, including drafting and filing corporate documents and ensuring adherence to UAE free‑zone, employment and company law.
• Lead investor relations and fundraising, negotiating SAFE, SSA and equity financing documents, managing cap tables, ESOPs and shareholder communications.
• Draft, review and negotiate commercial contracts with real‑estate developers, telcos, technology vendors and distributors, and create standard NDA, MSA and licensing templates.
• Oversee intellectual‑property strategy, including assignments, licensing, trademark and patent filings.
• Provide risk and strategic advisory to the CEO, board and management on multi‑jurisdictional legal issues, regulatory developments for AI and data, and build scalable compliance processes.
• Engage and manage external law firms, ensuring cost‑effective use of outside counsel aligned with budget priorities.

Required profile

• Bar admission in an English common‑law jurisdiction (e.g., UK, Australia, Canada) and in UAE law; Swiss law qualification is a plus.
• 8 + years post‑qualification experience, with at least 3 years in‑house at a startup or technology company.
• Proven expertise in corporate law, contracts, M&A/financing transactions and UAE free‑zone regulations.
• Experience advising on cross‑border contracts, technology/IP law and venture financing.
