Lead Corporate Secretary

About the role

Bybit is looking for an experienced Lead Corporate Secretary to oversee corporate governance and secretarial functions across its global entities. The role ensures statutory compliance, supports board governance, and manages corporate records in multiple jurisdictions.

Key responsibilities

• Perform corporate secretarial duties for all global legal entities, maintaining good standing through statutory filings.
• Manage entity incorporations, restructurings, dissolutions and ongoing corporate maintenance across jurisdictions.
• Coordinate board, committee and shareholder meetings, preparing agendas, resolutions, minutes and governance documentation.
• Maintain statutory registers, constitutional documents, delegated authority records and corporate databases.
• Oversee director and shareholder appointments, authorised signatories and powers of attorney.
• Support licensing initiatives, regulatory submissions and corporate transactions requiring governance approvals.
• Manage external corporate secretarial providers, registered agents and government authorities.
• Develop and improve governance frameworks, SOPs, templates and processes to support scalability.

Required profile

• At least 5 years of corporate secretarial or governance experience in a multinational, financial institution or professional services firm.
• Bachelor’s degree in Law, Business Administration or related field; professional qualification such as CGI is advantageous.
• Strong knowledge of corporate governance principles and statutory compliance across multiple jurisdictions.
• Excellent written communication, drafting and stakeholder management skills.
• Meticulous organisational abilities, especially in maintaining corporate records and supporting audits.
• Thrives in fast‑paced, high‑growth environments with a strong sense of ownership and urgency.
• Proactive, resourceful and comfortable working independently.
• Interest in digital assets, fintech or financial services is preferred.
