Paralegal - Transactional (Corporate)

About the role

The Transactional team in our UAE office is looking for an experienced Paralegal to support corporate reorganisation, M&A, capital markets, funds and private‑equity work. You will work under the supervision of associates and partners, handling a wide range of corporate maintenance and due‑diligence tasks for a diverse client base.

Key responsibilities

• Liaise with and assist in setting up companies with government authorities such as DET, ADED, Ministry of Economy, DIFC, ADGM, JAFZA, DAFZA, DDA, Central Bank and Chamber of Commerce.
• Take primary responsibility for corporate maintenance for numerous clients.
• Conduct legal due‑diligence for M&A and corporate reorganisation projects.
• Perform record searches with government authorities.
• Provide instructions to PROs, accompany them when required, and coordinate with other personnel.
• Prepare and draft legal documents including application forms, articles of association, board and shareholder resolutions, and powers of attorney.
• Draft client correspondence (letters, memos, emails).
• Research legislation and perform general research in media, journals and publications.
• Undertake any additional tasks assigned by management.

Required profile

• Minimum 5 years experience as a corporate paralegal in the UAE.
• Experience with a leading international or major regional law firm.
• Excellent Arabic and English communication skills (reading, writing and speaking).
• Practical experience gained at a major UAE‑based law firm.
