Senior Legal Counsel

About the role

We are seeking an experienced Senior Legal Counsel to work directly with Board‑level stakeholders across a portfolio of international ventures. This trusted position sits at the centre of strategic decision‑making, focusing on investments, corporate structuring, risk management, and legal representation. The ideal candidate blends strong technical legal expertise with a commercial mindset, discretion, and the ability to operate independently in a fast‑moving, international environment.

Key responsibilities

• Provide legal support for investments, acquisitions, divestments and strategic partnerships, including drafting and reviewing term sheets, shareholder agreements and transaction documentation.
• Conduct and oversee legal due diligence for new investment opportunities and advise on risk assessment and mitigation.
• Design and maintain efficient corporate and ownership structures across multiple jurisdictions, advising on restructurings, reorganisations and cross‑border legal frameworks.
• Support governance matters at holding and operating entity levels and coordinate with external advisors, law firms and corporate service providers globally.
• Act as primary legal advisor to Board‑level stakeholders, translating complex legal matters into clear, business‑oriented recommendations.
• Manage disputes and claims, oversee litigation strategy, settlement negotiations and enforcement matters, and represent interests in legal proceedings when required.
• Monitor legal and regulatory risks across jurisdictions, ensure compliance with corporate, commercial and investment regulations, and maintain confidentiality of Board stakeholders.

Required profile

• Fully qualified lawyer (LLB, JD or equivalent); additional certifications are a plus.
• 10+ years of experience in corporate, investment or commercial law.
• Strong background in investments & M&A, corporate structuring (including cross‑border setups) and shareholder/governance matters.
• Proven experience representing clients in disputes and litigation.
