SPAC Project Manager

About the role

We are looking for a highly organized, execution‑oriented SPAC Project Manager to lead the end‑to‑end process of an Oil & Gas Special Purpose Acquisition Company (SPAC). You will act as the central coordination hub for all transaction stakeholders, ensuring timelines, deliverables, and alignment across multiple jurisdictions and workstreams.

Key responsibilities

• Coordinate the full SPAC execution process from IPO preparation through de‑SPAC completion, managing timelines, milestones, and action trackers.
• Drive accountability across legal counsel, auditors, underwriters, SEC counsel, financial advisors, PIPE investors, target companies, sponsors, IR/PR firms, and service providers.
• Support IPO and regulatory activities, including SEC comment coordination, S‑1 amendment tracking, FINRA and exchange workstreams, due‑diligence, data‑room management, and corporate‑governance documentation.
• Manage investor‑facing materials such as presentations, roadshow decks, financial summaries, and Q&A documents, ensuring they are transaction‑ready.
• Oversee the de‑SPAC business combination from LOI to closing, handling due‑diligence, financial statement readiness, investor communication, PIPE processes, regulatory filings, and closing mechanics.

Required profile

• 3–10+ years of experience in investment banking, capital markets, SPACs, IPO execution, corporate finance, or oil & gas finance.
• Prior exposure to SPAC, IPO, M&A, PIPE, or public‑market transactions is strongly preferred.
• Demonstrated ability to operate under pressure across multiple jurisdictions and advisory teams.
