Legal Counsel – Corporate & Commercial

About the role

We are looking for a Legal Counsel to provide day‑to‑day corporate and commercial legal support to our Group. Working under the Head of Legal (Corporate & Commercial), you will handle routine contract drafting and review, corporate housekeeping and transactional assistance across a range of business units.

Key responsibilities

• Provide practical, business‑oriented legal advice on corporate and commercial matters, including contract interpretation, risk identification and mitigation.
• Draft, review and negotiate a wide variety of agreements such as NDAs, LOIs/MOUs, joint venture documents, supplier and customer contracts, service agreements, procurement, banking, HR and commercial addenda.
• Support automotive business units with agency and distribution agreements, identifying risks related to exclusivity, territory, termination and regulatory compliance.
• Assist real‑estate transactions, including sale‑purchase agreements, long‑term leases, Musataha, brokerage and facilities management contracts.
• Maintain and improve the Group’s standard contract templates, legal notices, Articles and Memorandums of Association.
• Conduct legal research, monitor legislative changes in the UAE and its Emirates, and perform due‑diligence for M&A transactions.
• Escalate high‑risk or non‑standard issues to the Head of Legal and prepare internal memoranda and guidelines as required.

Required profile

• Qualified law degree with a strong understanding of corporate, commercial and automotive law.
• Experience drafting and negotiating commercial contracts across multiple jurisdictions.
• Familiarity with UAE legislation and the ability to stay current on legal developments.
• Proven ability to work under supervision on complex matters and to support senior management.
