Legal Manager – Real Estate & Corporate Transactions

About the role

The Legal Manager will support the General Counsel in delivering comprehensive legal services across real estate, corporate structuring, and dispute resolution. The role focuses on ensuring regulatory compliance, drafting and negotiating complex agreements, and providing strategic legal insight to business units operating in the UAE and GCC.

Key responsibilities

• Conduct in‑depth legal assessments for real‑estate project launches, investment sales, joint ventures and REIT structuring.
• Draft, review and negotiate property sale and purchase agreements, leasehold portfolios, strata titles and development rights.
• Support corporate structuring of SPVs, partnerships, trusts and joint‑venture entities, including due‑diligence and shareholder agreements.
• Maintain and harmonise standard contract templates, ensuring enforceability under UAE and GCC law.
• Assist in designing group‑level legal governance frameworks and conduct compliance assessments for licensing and permits.
• Coordinate litigation with external counsel, manage dispute registers and develop proactive avoidance strategies.
• Provide legal support to internal departments such as Sports, FM, CM, Leisure, Asset Management and train stakeholders on contractual risks.
• Drive legal operations improvements, including panel counsel management, KPI tracking and adoption of legal‑tech tools.

Required profile

• Qualified lawyer with substantial experience in real‑estate, corporate and M&A matters.
• Strong knowledge of UAE regulatory frameworks (DMT, ADM, RERA, ADGM) and GCC commercial law.
• Proven ability to manage complex transactions, draft high‑value agreements and oversee litigation.
• Excellent analytical skills and the capacity to work closely with investment and development teams.
