About the role

OMNIYAT, a leading ultra‑luxury developer in Dubai, is seeking an experienced Group Company Secretary to support the Chairman’s Office and Board of Directors. The role sits at the heart of the Group’s governance framework, coordinating between senior internal and external stakeholders.

Key responsibilities

  • Coordinate and manage Board and shareholder meetings, including scheduling, agenda preparation and distribution of materials.
  • Attend Board meetings and produce accurate minutes, resolutions and decision records.
  • Track and follow up on action items to ensure timely completion.
  • Maintain governance calendars, statutory registers, compliance trackers and corporate records.
  • Handle formal communications with investors, auditors, regulators and other external parties.
  • Review shareholder, JV, financing and investment agreements to identify obligations and translate them into practical trackers.
  • Liaise with Legal, Corporate Finance, Investments and senior leadership to support execution of Board decisions.
  • Monitor governance and compliance risks, escalating material issues as needed.
  • Provide high‑level administrative and governance support to the Chairman and Board.

Required profile

  • 8–12 years of experience in corporate governance, board secretariat, legal or executive governance support.
  • Proven experience supporting Boards of Directors, shareholders or senior governance committees.
  • Background in a listed company, investment group, family office or real‑estate development is highly advantageous.
  • Strong minute‑taking skills and ability to manage governance processes.
  • Excellent communication, stakeholder management and organisational abilities.
  • Capability to read and interpret legal and commercial agreements.
  • Highly detail‑oriented with strong follow‑up and coordination capabilities.
  • Professional presence to operate confidently at Board and investor level.
  • Bachelor’s degree in Business Administration, Law, Finance or related field; governance qualification (e.g., CGI/Chartered Secretary) is a plus.
