Legal Counsel – Al Dhafra & Al Yasat

About the role

ADNOC Group is seeking a Legal Counsel to support its Al Dhafra and Al Yasat petroleum operations in Abu Dhabi. Reporting to the General Counsel, you will provide legal, governance and compliance expertise across a range of commercial and corporate matters.

Key responsibilities

• Draft, review and negotiate contracts such as EPC agreements, SLAs, technical support and confidentiality agreements.
• Provide legal opinions and risk assessments on corporate transactions, joint ventures and concession agreements.
• Advise business units—including Procurement, HR, Projects, HSE, Finance—on commercial and regulatory issues.
• Support litigation and dispute resolution, liaising with external counsel and claims consultants for arbitration and high‑value EPC disputes.
• Assist in Board meeting preparation, minute taking, and ensure compliance with governance frameworks and ADNOC policies.
• Participate in internal audits, risk committee reviews and stakeholder engagement with ADNOC HQ Legal and external regulators.

Required profile

• Bachelor’s degree in Law from a recognized university.
• Common Law qualification and a valid Practising Certificate.
• Legal training from a reputable law firm.
• Minimum 5 years of legal experience in the petroleum or industrial sector, preferably in the UAE.
• Strong understanding of commercial principles, project and construction contracts.
