Legal Counsel – Corporate & Governance

About the role

The Legal Counsel will support Al Dhafra Petroleum and Al Yasat Petroleum by providing legal, governance, and compliance advice. Reporting to the General Counsel, the role ensures legal risk is managed and corporate activities align with ADNOC Group policies and UAE law.

Key responsibilities

• Draft, review and negotiate contracts such as EPC agreements, SLAs, technical support and confidentiality agreements.
• Provide legal opinions and risk assessments on corporate transactions, joint ventures and concession agreements.
• Advise on high‑value claims and disputes, coordinating with external counsel for litigation and arbitration.
• Support board activities, including preparation of meeting materials, minute taking and ensuring compliance with governance frameworks.
• Maintain adherence to ADNOC policies, ethics and compliance programs, and participate in internal audits and risk reviews.
• Engage with ADNOC headquarters, regulators and shareholders, representing Legal in cross‑functional meetings.

Required profile

• Law degree with a minimum of 5 years of relevant experience in corporate and commercial law.
• Proven experience handling EPC contracts, joint ventures and concession agreements.
• Strong understanding of UAE legal and regulatory environment.
• Ability to work closely with procurement, HR, projects, HSE, finance and business performance teams.
