Corporate Counsel – Legal Partner for Group Operations

About the role

The Corporate Counsel will act as a trusted, commercially‑mind​ed legal partner to the Chairman, senior management and business units across ONEX Holding and its group entities. The role provides practical, timely legal advice on investments, transactions, projects and day‑to‑day operations while protecting the Group’s legal, regulatory and reputational interests.

Key responsibilities

• Provide clear, practical legal advice to senior leadership and business units across all Group entities, covering day‑to‑day matters, cross‑border structuring, licensing, sanctions and trade compliance.
• Lead legal support for energy, infrastructure and project delivery, drafting and negotiating EPC contracts, supply agreements, performance guarantees and managing contractual issues during execution.
• Draft, review and negotiate commercial agreements for customers, vendors, partners, commodity trading, shipping and real‑estate transactions, and maintain standard contract templates and approval workflows.
• Lead or support M&A, joint‑venture and financing workstreams, including due diligence, term‑sheet negotiation, regulatory approvals and post‑completion obligations.

Required profile

• Law degree (LL.B., J.D. or equivalent) and admission to practice in a relevant jurisdiction.
• 7‑10 years post‑qualification experience, preferably split between a Magic Circle firm and an in‑house legal team.
• Excellent written and spoken English; Arabic fluency strongly preferred, French an advantage.
• Membership in a professional bar or corporate counsel association.
