Manager Legal Mining

About the role

Peergrowth is looking for a deal‑hardened transactions lawyer to join its Group Legal team in Dubai. Reporting to the General Counsel, you will lead the legal workstreams that drive the group’s inorganic growth across international markets.

Key responsibilities

• Lead end‑to‑end legal workstreams for cross‑border acquisitions and divestments, including NDAs, LOIs, SPA negotiation, W&I insurance and post‑closing obligations.
• Structure and negotiate joint‑venture agreements for international mining ventures, covering governance, funding mechanics, offtake rights and exit provisions.
• Design SPV and holding platform structures using UAE entities, coordinating with tax, treasury and corporate governance teams.
• Develop and manage comprehensive legal, regulatory and ESG due‑diligence programmes for mining assets.
• Maintain transaction playbooks, manage external counsel, and drive post‑closing integration and 100‑day obligation tracking.

Required profile

• LL.B. from a recognised university (LL.M. in Corporate/Commercial Law preferred).
• 3‑5 years post‑qualification M&A and transactional experience, preferably in metals/mining or top‑tier law firms.
• Proven track record of executing cross‑border natural resources deals, including at least one African mining transaction.
• Familiarity with UAE holding/SPV structures and African mining tenure/empowerment regimes.
