Senior Legal Counsel

About the role

We are a fast‑growing Web3 startup building compliant infrastructure for crypto wallets, exchanges and tokenisation platforms. As we expand globally, we need a Senior Legal Counsel with deep cross‑border crypto law experience to guide our growth and manage regulatory risk.

Key responsibilities

• Advise on local and international crypto regulations (VARA, MiCA, SEC, CFTC, FinCEN, FATF, AML/KYC).
• Provide legal guidance on tokenisation structures, whitepapers and tokenomics.
• Support legal structuring for wallet infrastructure, token issuance, exchange integrations and custody services.
• Lead or support crypto exchange licensing applications and regulator interactions worldwide.
• Draft, review and negotiate commercial contracts such as SaaS, partnership, licensing, IP, vendor and reseller agreements.
• Manage corporate matters including board governance, shareholder relations, international subsidiaries and entity incorporation in crypto‑friendly jurisdictions.
• Oversee fundraising documentation, investor agreements, token vesting schedules and SAFE/SAFT contracts.
• Advise on employment law, contractor agreements and HR policies in line with UAE labour law and international standards.
• Develop cross‑border compliance frameworks, monitor global legal developments and coordinate with external counsel.

Required profile

• Law degree (LLB, JD or equivalent) and licensed to practice in at least one jurisdiction.
• 5–10 years post‑qualification experience covering blockchain/crypto or fintech regulation, commercial/tech contracts, corporate and employment law, and cross‑border compliance.
• Strong knowledge of token classification, crypto licensing, AML/KYC and data‑privacy laws (GDPR, DPDP).
• Excellent drafting, negotiation and advisory skills.
