About the role
This is a Corporate Governance Officer / Assistant Company Secretary responsible for supporting board and committee governance, maintaining governance and compliance frameworks, managing documentation, producing high-quality minutes, and ensuring accountability across the trading business. Our client is a leading international organisation operating within the energy, commodities, and trading sector, with a growing presence in the UAE, offering a dynamic and entrepreneurial environment where governance and operational excellence are strategic priorities.
Key responsibilities
- Coordinate board and committee meetings, including agenda preparation, minute‑taking, action tracking, and follow‑up activities.
- Maintain and enhance corporate governance frameworks, policies, and procedures to support business objectives.
- Prepare governance reports and management information for internal stakeholders and governance committees.
- Monitor compliance with governance processes, ensuring documentation, approvals, and records remain accurate and complete.
- Support governance‑related due diligence and KYC activities while liaising with stakeholders across multiple jurisdictions.
- Collaborate with legal, compliance, finance, and commercial teams to embed governance requirements within transaction approval processes, committee activities, and key corporate initiatives.
Required profile
- 5‑8 years of experience within corporate governance, company secretarial, legal operations, paralegal, or governance‑focused compliance functions.
- Bachelor’s degree in Law or a Governance, Compliance, or related discipline.
- Proven experience supporting boards, committees, executive stakeholders, and governance reporting processes.
- Strong documentation, policy review, drafting, and minute‑taking skills with exceptional written English.
- Resilient, organised, and confident engaging with senior stakeholders in a fast‑paced and evolving environment.
- Demonstrated ability to operate effectively in a fast‑paced, evolving environment, using strong stakeholder management skills to drive accountability and deliver outcomes with minimal supervision.
