Corporate Lawyer – UAE Legal & Regulatory Specialist

About the role

We are looking for an experienced Corporate Lawyer with strong UAE legal and regulatory expertise. The role involves supporting corporate transactions, legal due diligence, corporate structuring, and ongoing advisory matters across the UAE.

Key responsibilities

• Conduct comprehensive legal due diligence for mergers, acquisitions, investments, joint ventures, and restructuring transactions.
• Review corporate documents, constitutional documents, commercial contracts, licenses, permits, employment agreements, and regulatory filings.
• Prepare detailed due diligence reports highlighting legal risks, liabilities, and mitigation recommendations.
• Advise clients on UAE corporate and commercial laws, including mainland and free‑zone regulations.
• Support company incorporations, corporate restructuring, liquidation, and governance matters across various UAE jurisdictions.
• Draft, review, and negotiate legal documents and assist with transaction execution, closing documentation, and post‑transaction integration.
• Liaise with regulatory authorities, free‑zone authorities, clients, and external legal counsel.
