Mergers and Acquisitions Lawyer

About the role

Arada is looking for an experienced M&A lawyer to act as a strategic legal advisor to the business. The role leads and supports mergers, acquisitions, divestments, joint ventures, corporate restructurings and other strategic transactions across the GCC, advising on legal risk, regulatory compliance and commercially sound solutions. Experience in the Kingdom of Saudi Arabia and the wider GCC is highly desirable.

Key responsibilities

• Lead and manage domestic and cross-border M&A transactions from start to finish, and structure, negotiate and draft SPAs, APAs, joint venture agreements, shareholders' agreements, subscription agreements and investment and partnership agreements.
• Oversee legal due diligence, identify transaction risks and advise on transaction structures, regulatory implications and post-acquisition integration.
• Advise on corporate structuring, reorganizations and governance, and support board and shareholder matters such as resolutions and compliance.
• Draft, review and negotiate commercial agreements, strategic partnerships, procurement arrangements and service agreements, and recommend risk mitigation.
• Monitor legal and regulatory developments, advise on competition law, foreign investment regulations, licensing and corporate compliance.
• Partner with executive management, finance teams, business leaders and external advisors, translating complex legal issues into practical business solutions.

Required profile

• Bachelor's degree in Law (LLB) or equivalent; LLM is an advantage.
• 10+ years of legal experience focused on M&A, corporate and commercial law.
• Proven track record of independently managing complex, high-value M&A transactions and advising executive leadership.
• Experience in both international/multinational law firms and in-house legal functions of large corporations.
• Preferred: strong exposure to KSA law and regulation, experience across the GCC and Middle East, and background in private equity, real estate, infrastructure, healthcare or consumer sectors.
