Senior Manager, Board Affairs & Governance (Emiratized)

About the role

The Senior Manager, Board Affairs & Governance will support the Board of Directors by preparing meeting materials, ensuring compliance with corporate governance standards, and acting as a liaison between the Board and senior management. This Emiratized position requires close collaboration with Co‑Chairs, directors, and various internal stakeholders.

Key responsibilities

• Prepare Board meeting agendas, materials for Annual General Meetings and SPV meetings, and ensure timely distribution.
• Record, approve and circulate meeting minutes, assign action items and monitor compliance with the company’s constitution, policies and relevant regulations.
• Advise on corporate governance best practices, maintain the governance framework and oversee director induction training.
• Manage remuneration payments for Board members, maintain the board composition matrix and succession timetable.
• Liaise with management to agree on agenda items, draft terms of reference for the Board and ensure proper delegation of authority.

Required profile

• Bachelor’s degree in Business Administration or a related field.
• 4‑6 years of experience in board relations, corporate secretariat or similar governance roles.
• Demonstrated ability to communicate effectively with senior executives and Board members.
• Experience in managing SPV formations, liquidations and regulatory filings.
