Legal Counsel – Corporate & Governance

About the role

Beond is expanding across the GCC and needs a Legal Counsel to lead corporate set‑up, governance and entity management in new jurisdictions. Reporting to the Senior Legal Counsel, you will work closely with senior management to provide day‑to‑day legal support.

Key responsibilities

• Provide legal advice on company law, corporate governance, restructurings and transactions.
• Lead the establishment of new entities across the GCC, coordinating with local counsel.
• Manage board correspondence, board packs, resolutions, minutes and statutory filings.
• Maintain shareholder records and act as the central point for company secretarial activities.
• Design and implement an employee share scheme.
• Review internal contracts and policies, and draft, review and negotiate commercial agreements.
• Oversee external legal advisors and liaise with regulatory authorities.
• Advise on risk, regulatory compliance and support dispute resolution.

Required profile

• Qualified lawyer with a law degree and admission to practice in a relevant jurisdiction.
• 3‑5 years post‑qualification experience in corporate legal roles, preferably in‑house or at a reputable UAE firm.
• Strong experience in corporate governance and entity management within GCC jurisdictions (UAE mainland, ADGM, DIFC, KSA, Bahrain).
• Proven ability to draft and negotiate commercial agreements.
• Comfortable managing multiple jurisdictions and local counsel.
• Pragmatic, commercial mindset with high attention to detail.
• Arabic language skills strongly preferred.
• Currently based in the UAE and immediately available.
