Mergers & Acquisitions Lawyer

About the role

Arada is seeking an experienced M&A Lawyer to act as a strategic legal advisor, leading and supporting mergers, acquisitions, joint ventures and corporate restructurings across the GCC.

Key responsibilities

• Lead domestic and cross‑border M&A transactions from inception to completion, including drafting SPAs, APAs, JV and shareholders' agreements.
• Conduct legal due diligence, identify risks, and advise senior leaders on transaction structures, regulatory implications and post‑acquisition integration.
• Provide corporate law and governance advice, support board and shareholder matters, and ensure compliance with GCC corporate regulations.
• Draft, review and negotiate commercial contracts, strategic partnership agreements and operational contracts, recommending mitigation strategies for legal and commercial risks.
• Monitor regulatory developments, advise on competition law, foreign investment rules and licensing requirements, and coordinate with external counsel and advisors.

Required profile

• LLB (or equivalent) required; LLM is an advantage.
• 10+ years of legal experience focused on M&A, corporate and commercial law.
• Proven track record of independently managing high‑value M&A transactions.
• Experience working in leading international law firms and in‑house within large corporations.
• Strong exposure to KSA and broader GCC legal and regulatory environments.

Required skills

• Drafting and negotiating Share Purchase Agreements, Asset Purchase Agreements, Joint Venture Agreements and Shareholders' Agreements.
• Legal due diligence and risk assessment.
• Corporate restructuring and governance.
• Regulatory compliance, competition law and foreign investment regulations.
• Stakeholder management with senior executives, finance teams and external advisors.
