Senior Counsel – Governance

About the role

The client, a leading international energy and investment group, is strengthening its governance capabilities. Reporting to the Associate Director of Governance, the Senior Counsel will provide senior‑level legal and governance advice, develop the governance framework and support company secretarial activities across the group.

Key responsibilities

• Act as a trusted business‑facing adviser, delivering clear, pragmatic legal and governance guidance to senior stakeholders.
• Lead the development, implementation and continuous improvement of the group’s governance framework, policies and procedures.
• Develop and maintain governance documentation such as delegations of authority and committee terms of reference.
• Partner with business teams to identify governance gaps early in transaction lifecycles and advise on investments, acquisitions, joint ventures and strategic partnerships.
• Assess governance risks across multiple jurisdictions and implement practical remediation measures.
• Oversee or support company secretarial functions for relevant committees and contribute to governance training and reporting.

Required profile

• Law degree or equivalent postgraduate legal qualification (JD, LLM, etc.).
• At least 10 years of experience in legal, corporate governance, compliance or regulatory advisory roles.
• Strong commercial judgement, ability to influence senior stakeholders and work independently in a complex international environment.
• Excellent analytical, communication and stakeholder‑management skills.

• Demonstrated ability to develop, enhance and implement governance frameworks, policies and procedures.
