Senior Legal Counsel – Business Development

About the role
Provide dedicated legal support to Business Development teams on power and water projects, focusing on Operations & Maintenance (O&M), PPP/PFI structures, and ACWA's role as O&M provider across multiple regions.
Key responsibilities
- Lead negotiation of Operation & Maintenance Agreements, Long‑Term Service Agreements, Technical Services Agreements and related subcontractors.
- Support review of PPAs, concession agreements and draft NDAs, consortium agreements, MoUs and bid‑stage documentation.
- Ensure risk allocation and back‑to‑back structuring between OMA, PPA, EPC and financing documents.
- Assist lender negotiations, review step‑in rights and satisfy conditions precedent for O&M arrangements.
- Coordinate with BD, technical, operations, corporate legal and external counsel across jurisdictions.
Required profile
- 5–8 years post‑qualification experience, preferably in English or New York law.
- In‑house or top‑tier law firm background in power and water PPP/PFI or project‑financed infrastructure.
- Proven ability to draft and negotiate O&M contracts and manage multiple bids under tight timelines.
