Corporate & Advisory Associate (UAE)

About the role

We are looking for a commercially‑savvy Associate to join our Corporate and Advisory Department in the UAE. The role involves advising a diverse client base on corporate transactions, private‑wealth structures, financing and commercial matters.

Key responsibilities

• Advise clients on corporate, commercial and advisory matters across the UAE.
• Manage corporate transactional changes such as shareholders, directors, auditors, constitutional documents and governance.
• Support M&A, private‑equity, cross‑border acquisitions, joint ventures, restructuring and debt/equity financing transactions.
• Provide private‑wealth structuring advice, including holding and family‑business arrangements.
• Assist start‑ups and established companies with funding rounds, investment structuring and corporate documentation.
• Draft, review and negotiate a wide range of agreements (shareholder, SPA, JV, financing, franchise, IP licensing, SaaS, privacy policies, etc.).
• Prepare legal due‑diligence, red‑flag and transaction summary reports.
• Identify legal risks and propose commercially viable solutions.
• Liaise with clients, regulators, banks, free‑zone authorities and external advisors.

Required profile

• Minimum 5 years of experience advising on corporate transactions, commercial matters and financing in the UAE.
• Strong knowledge of corporate governance, shareholder changes, capital restructuring and regulatory compliance.
• Excellent English drafting and communication skills.
• Proven ability to work with high‑net‑worth individuals, family offices, start‑ups and multinational corporations.
