Corporate Legal Counsel

About the role

SEE Holding is looking for a highly analytical Corporate Legal Counsel with solid experience in real‑estate development, especially within UAE developer companies. The role safeguards the company’s interests by delivering accurate legal advice, reviewing and drafting agreements, and supporting complex transactions across property, construction, and joint‑venture projects.

Key responsibilities

• Provide timely counsel to internal departments on partnerships, joint ventures, real‑estate structures, corporate finance, and company incorporation.
• Draft, review, and amend a wide range of contracts, including JV agreements, real‑estate structuring documents, MOUs, head‑of‑terms, FIDIC contracts, development agreements, loan and financing agreements.
• Research and evaluate legal risk factors related to business decisions and operations.
• Apply risk‑management techniques and offer proactive advice on potential legal issues.
• Negotiate and communicate with external parties such as regulators, external counsel, JV partners, and public authorities, building trusted relationships.
• Clarify legal language and specifications for all company stakeholders.
• Maintain up‑to‑date knowledge of legislative changes in the UAE, GCC, and MENA regions.

Required profile

• Minimum 3–5 years of experience handling commercial, civil, property development, construction, real‑estate, joint‑venture, corporate, and trademark matters, preferably in large organisations or real‑estate development firms.
• Bachelor’s degree in law (LLB or equivalent) is required.
• Fluency in English and Arabic, both written and spoken.

Required skills

• Strong knowledge of property development, construction, real‑estate structures, joint‑venture projects, and commercial law in the UAE, GCC, and MENA.
• Expertise in drafting and reviewing FIDIC contracts and other real‑estate development agreements.
• Proficiency with legal research tools, databases, and specialist information‑retrieval systems.
• Excellent legal drafting, writing, and critical evaluation abilities.
