Corporate Attorney – Remote (Contract)

About the role

This remote contract position is for an experienced Corporate Attorney specializing in mergers and acquisitions. You will work with a global technology leader, reviewing and negotiating transaction agreements, conducting due diligence, and ensuring regulatory compliance. The role offers flexibility to work from anywhere while collaborating with cross‑functional teams.

Key responsibilities

• Draft, review, and negotiate definitive agreements and ancillary transaction documents.
• Conduct legal due diligence for mergers, acquisitions, and divestitures.
• Advise on corporate governance, compliance, and regulatory matters.
• Coordinate with internal stakeholders to align legal strategy with business objectives.
• Provide guidance on transaction structure, risk allocation, and deal terms.

Required profile

• Admission to practice law in at least one U.S. jurisdiction.
• Demonstrated M&A experience, including drafting and negotiating SPAs and asset purchase agreements.
• Strong analytical and problem‑solving abilities with attention to detail.
• Ability to work independently and manage multiple priorities in a fast‑paced environment.
