Corporate Lawyer – M&A Specialist

About the role

RAYNE is expanding its consultant team and seeks experienced Corporate M&A Lawyers based in Dubai and Abu Dhabi. As a consultant you will work directly within client organisations, acting as an extension of their in‑house legal teams.

Key responsibilities

• Advise on M&A transactions, joint ventures and corporate structuring, from due diligence to post‑merger integration.
• Draft, review and negotiate complex agreements and other corporate transaction documents.
• Provide legal guidance on deal structuring, regulatory approvals and compliance with corporate laws.
• Conduct legal due diligence and risk assessments for private and public company acquisitions.
• Support cross‑border transactions, ensuring compliance with international and regional regulations.

Required profile

• 5+ years post‑qualification experience, admitted in a major international jurisdiction.
• 5+ years M&A experience at a top‑tier international law firm or in‑house corporate/M&A function.
• Strong background in private equity, corporate transactions and due diligence.
• Proven ability to handle complex, high‑value cross‑border deals.
• Excellent drafting, negotiation and stakeholder management skills.
