Legal Counsel – In‑house Investment Firm

About the role

Our client, a well‑established investment firm headquartered in the UAE, is looking for a dynamic Legal Counsel to join its in‑house legal team in Dubai. Reporting directly to the General Counsel, you will provide transactional and commercial legal advice across all business functions and help minimise legal risk.

Key responsibilities

• Advise on investment transactions, manage legal processes and conduct due diligence for strategic investments.
• Draft, negotiate and finalise term sheets and definitive investment documentation.
• Provide day‑to‑day legal advice on commercial and contractual matters.
• Oversee shareholder and board matters, including consents and communications for portfolio companies.
• Ensure compliance with ADGM and FSRA regulations and support regulatory filings.
• Maintain registration details for the organisation and its affiliated entities.
• Collaborate with external counsel and professional service providers.
• Undertake special projects and ad‑hoc assignments as directed by the General Counsel.

Required profile

• Minimum 2 years of experience at a leading law firm or in‑house at a reputable investment firm.
• Law degree from a recognised institution and a valid licence to practice law.
• Excellent written and verbal communication skills in English; Arabic is a plus.
• Strong analytical abilities and a basic understanding of financial concepts.
• Proactive, collaborative, results‑driven with solid time‑management skills.

Required skills

• Familiarity with ADGM and FSRA regulatory frameworks.
