Legal Counsel – Real Estate Investment Platform

About the role

We are looking for an experienced, commercially‑minded Legal Counsel to join our real‑estate investment platform. You will work on high‑value, complex transactions such as M&A, joint ventures, investment structuring and fund management, collaborating closely with senior leadership.

Key responsibilities

• Draft, review and negotiate investment documentation, term sheets, subscription agreements and shareholder arrangements.
• Coordinate legal due‑diligence for equity and debt transactions.
• Provide legal support for corporate finance initiatives, including capital restructuring and strategic investments.
• Ensure compliance with UAE regulatory frameworks across onshore, ADGM and DIFC jurisdictions.
• Support the creation of legal entities and regulated fund structures, preparing incorporation and regulatory documents.
• Review, draft and negotiate commercial, real‑estate and construction contracts, including FIDIC contracts.
• Advise on contractual and statutory provisions to aid enforcement, dispute management and commercial negotiations.
• Collaborate with investment, procurement, commercial and finance teams to execute complex transactions.

Required profile

• Qualified lawyer from the UK, US or another recognised common‑law jurisdiction.
• Minimum 5 years post‑qualification experience at a reputable international law firm or a corporate/investment fund.
• Strong background in corporate law, private equity and fund structures.
• Proven ability to manage complex transactions in fast‑paced, high‑growth environments.
• Commercial mindset with strong problem‑solving abilities.
