Senior Legal Associate – Venture Capital & Private Equity

About the role

Our client, a leading investment firm operating across venture capital, private equity and private credit in the MENA region, is looking for a commercially‑minded Senior Legal Associate. The role is hands‑on, supporting investment teams through transaction management, documentation and practical commercial advice.

Key responsibilities

• Manage legal workstreams for VC, growth equity, PE and private credit deals from structuring and due diligence to negotiation and closing.
• Draft, review and negotiate term sheets, investment agreements, subscription documents, shareholders’ agreements and convertible instruments.
• Identify legal risks and provide recommendations that balance investor protection with commercial objectives.
• Support follow‑on investments, secondary transactions, exits and portfolio‑company restructurings.
• Advise on shareholder rights, board matters, corporate governance and material portfolio‑company actions.
• Coordinate external counsel across jurisdictions, managing costs, deadlines and deliverables.

Required profile

• Approximately 6–7 years post‑qualification experience gained at a leading international law firm or in‑house within an investment firm or financial institution.
• Qualified solicitor or equivalent recognised legal qualification.
• Strong experience in venture capital, growth capital and/or private equity transactions, preferably with technology businesses.
• Excellent English drafting, negotiation and communication skills.
• Ability to manage competing priorities in an entrepreneurial environment.
• UAE or wider GCC experience is advantageous; familiarity with ADGM, DIFC and cross‑border structures is a plus.
