In-house Counsel – Remote (Contract)

About the role

We are seeking an experienced corporate attorney to join a global technology platform as an in‑house counsel on a remote, contract basis. The role focuses on corporate governance, regulatory compliance, and transactional support for a fast‑growing business.

Key responsibilities

• Draft, review and negotiate commercial contracts such as service, partnership and vendor agreements.
• Advise on corporate governance matters, including board and shareholder meetings and compliance with state and federal regulations.
• Ensure adherence to data‑privacy, security and other regulatory requirements.
• Maintain corporate filings, minute books, stock ledgers and corporate certificates.
• Provide legal support for mergers, acquisitions and other corporate transactions.

Required profile

• Juris Doctor (JD) from an accredited law school.
• Active membership in a state bar association.
• Minimum five years of experience in corporate law, with a focus on transactions and compliance.
• Proven ability to work independently in a remote environment.

Required skills

• Corporate governance and compliance expertise.
• Experience drafting and negotiating complex commercial agreements.
• Strong knowledge of regulatory requirements affecting technology companies.
