In-House Legal Counsel Vice President

About the role

You will provide legal advice to Intesa Sanpaolo branches across the MEA region, reporting to the International Network Legal Advisory Department at head office. The role combines corporate banking, structured finance, and litigation support for a leading European bank operating in the UAE.

Key responsibilities

• Advise business and non‑business units on legal matters affecting the MEA branches.
• Draft, review and negotiate corporate banking documentation such as confidentiality agreements, banking mandates and term sheets.
• Prepare and negotiate security documents including guarantees, mortgages and other quasi‑security instruments.
• Support distressed‑debt restructurings, work‑outs, hedging arrangements and related documentation.
• Handle trade finance matters, including documentary credits, supply‑chain finance programmes, pre‑export finance and receivables discounting.
• Provide guidance on insolvency, litigation and related dispute matters.
• Review capital‑markets, project finance, leverage finance and structured‑finance documentation, as well as M&A related contracts.
• Negotiate non‑core agreements such as IT contracts and property‑related contracts.

Required profile

• 5‑7 years of relevant legal experience.
• Qualified solicitor or lawyer from the UK, US or Australia.
• Training at an international law firm.
• Previous in‑house experience at an international bank.
