Legal Counsel

About the role

The Legal Counsel will support the Legal Function across commercial contracting, corporate, intellectual property and dispute matters for a portfolio of entities. Working under direct supervision, the role offers a clear development pathway toward independent portfolio responsibility within 18‑24 months.

Key responsibilities

• Draft, review and mark‑up master service agreements, teaming agreements, referral agreements, supply contracts and other commercial agreements; maintain the contract register and manage execution workflows.
• Support technology‑driven agreements such as software licensing, cloud and hosting, data‑centre, managed‑services, systems‑integration and SLAs, embedding information‑security, data‑protection and business‑continuity provisions.
• Assist M&A and corporate transactions throughout the deal lifecycle, including due diligence, data‑room management, drafting term sheets, SPAs, shareholder and JV agreements, and post‑merger integration.
• Provide negotiation support by preparing redlines, tracking comments, drafting responses and attending vendor/customer meetings.
• Handle corporate and secretarial duties, including shareholder resolutions, notarisations, licence renewals and statutory compliance.
• Manage trademark and copyright applications, maintain the IP register and coordinate with patent agents.
• Collect documents for disputes, draft initial responses, demand letters and legal notices, and liaise with external counsel.
• Act as first point of contact for day‑to‑day legal queries from Sales, Procurement, Projects, Finance, HR, Marketing and IT.
• Maintain template suites, clause libraries and contribute to legal KPI dashboards and matter‑management systems.

Required profile

• LLB from a recognised institution; bar admission to a recognised jurisdiction.
• 3–5 years post‑qualification experience, preferably covering commercial contracts, technology agreements, M&A and IP matters.
• Strong analytical and drafting abilities with attention to detail.

• Contract drafting and review (master service agreements, supply contracts, software licensing agreements).
• Technology‑focused agreement negotiation (cloud, hosting, SaaS, data‑centre).
• M&A due diligence and transaction documentation.
• Intellectual property administration (trademark, copyright, patent liaison).
• Dispute preparation and coordination with external counsel.
• Legal operations, template management and KPI reporting.
