Legal Manager – M&A & Investments for Mining

About the role

We are seeking a deal-hardened transactions lawyer to join our Group Legal team in Dubai as Manager Legal – M&A / Investments / JV. Reporting directly to the General Counsel – Legal, you will run the legal workstreams powering the Group's inorganic growth engine across international markets.

Key responsibilities

• Lead cross‑border acquisition and divestment workstreams end‑to‑end, including NDAs, LOIs, SPA negotiation, W&I insurance, closing management and post‑closing obligations.
• Structure and negotiate joint venture agreements for international mining ventures, covering governance, funding mechanics, offtake rights, deadlock and exit provisions.
• Design SPV and holding structures using UAE platforms (mainland, free zones, DIFC/ADGM) and coordinate with tax, treasury and governance teams.
• Design and manage legal, regulatory and ESG due‑diligence programmes, including title verification, environmental permits and responsible‑sourcing assessments.
• Maintain transaction playbooks, manage external counsel, and drive post‑closing integration, entity onboarding and 100‑day obligation tracking.

Required profile

• LL.B. from a recognised university (mandatory); LL.M. in Corporate/Commercial Law (preferred).
• 3–5 years post‑qualification M&A and transactional experience.
• 4–5 years handling cross‑border natural‑resources deals in‑house at metals/mining majors or top‑tier law firms.
• Demonstrated end‑to‑end execution of at least one African mining or resources transaction.
• Familiarity with UAE holding/SPV structures, African mining tenure/empowerment regimes and ESG due‑diligence for extractive assets.
