Senior Legal Associate – M&A in Venture Capital

About the role

The firm is an investment house active in venture capital, private equity and private credit across the MENA region. We are looking for a commercially‑minded Senior Legal Associate to support investment teams, manage transaction workstreams and provide practical legal advice.

Key responsibilities

• Manage legal workstreams for VC, growth equity, PE and private credit deals from structuring and due diligence through negotiation and closing.
• Draft, review and negotiate term sheets, investment agreements, subscription documents, shareholders’ agreements and convertible instruments.
• Identify legal risks, advise on corporate governance, board matters and portfolio‑company restructurings.
• Support fund documentation, investment‑vehicle structuring and regulatory compliance, including ADGM/FSRA matters.
• Coordinate external counsel across jurisdictions, control costs and ensure timely delivery of legal deliverables.

Required profile

• Approximately 6–7 years post‑qualification experience gained at a leading international law firm or in‑house within an investment firm/financial institution.
• Qualified solicitor or equivalent recognised legal qualification.
• Strong commercial judgement, excellent English drafting and negotiation skills, and ability to work with senior stakeholders.
• Experience in venture capital, growth capital or private equity transactions, preferably with technology businesses.
• UAE or GCC experience and familiarity with ADGM, DIFC and cross‑border investment structures is advantageous.
