Legal Counsel – Al Dhafra & Al Yasat (Abu Dhabi)

About the role

We are seeking a Legal Counsel to provide comprehensive legal, governance, and compliance support for Al Dhafra Petroleum and Al Yasat Petroleum. Reporting to the General Counsel, you will help manage legal risk, advise on corporate and commercial matters, and ensure alignment with ADNOC Group policies and UAE law.

Key responsibilities

• Draft, review and negotiate contracts such as EPC agreements, SLAs, technical support and confidentiality agreements.
• Provide legal opinions and risk assessments on corporate transactions, joint ventures and concession agreements.
• Support business units including Procurement, HR, Projects, HSE, Finance and Business Performance.
• Advise on claims and disputes, manage high‑value EPC matters, and coordinate with external counsel and arbitration consultants.
• Prepare board meeting materials, capture minutes, and ensure compliance with governance frameworks.
• Maintain adherence to ADNOC policies, support ethics and compliance programs, and participate in internal audits and risk reviews.
• Engage with ADNOC HQ Legal, regulators and shareholders, representing Legal in cross‑functional initiatives.

Required profile

• Bachelor’s degree in Law from a recognized university.
• Common Law qualification and a valid Practicing Certificate.
• Legal training from a reputable law firm.
• Minimum 5 years of legal experience in the petroleum or industrial sector, preferably in the UAE.
• Strong knowledge of commercial principles, projects and construction contracts, UAE laws and international legal standards.
• Excellent drafting, negotiation and communication skills; proficiency in English, Arabic an advantage.
• Strategic thinking, high integrity, confidentiality and ability to work under pressure.
