Legal Counsel – Corporate & Governance

About the role

Beond is looking for a Legal Counsel to support its regional expansion. Reporting to the Senior Legal Counsel, you will lead corporate set‑up, governance and entity management across new GCC jurisdictions while providing day‑to‑day legal support for the business.

Key responsibilities

• Provide legal advice on company law, corporate governance, restructurings and transactions.
• Lead the establishment of new entities across the GCC, coordinating with local counsel as needed.
• Manage board correspondence, board packs, resolutions, minutes and statutory filings.
• Maintain shareholder records and act as the central point for company secretarial activities.
• Design and implement an employee share scheme.
• Review internal contracts and policies, offering guidance.
• Draft, review and negotiate commercial agreements such as vendor, partnership and licensing contracts.
• Oversee external legal advisors and liaise with regulatory authorities across jurisdictions.
• Advise on risk management and regulatory compliance.
• Support dispute resolution and manage legal claims as they arise.

Required profile

• Qualified lawyer with a law degree and admission to practice in a relevant jurisdiction.
• 3‑5 years post‑qualification experience in corporate legal roles, either in‑house or at a reputable UAE firm.
• Strong experience in corporate governance and entity management, preferably within GCC jurisdictions (UAE mainland, ADGM, DIFC, KSA, Bahrain).
• Proven track record drafting and negotiating commercial agreements.
• Ability to work across multiple jurisdictions and manage local counsel.
• Commercial mindset suited to a fast‑paced environment and strong attention to detail.
• Arabic language skills strongly preferred.
• Currently based in the UAE and available to start immediately.
