Senior Specialist, Governance

About the role

The Senior Specialist, Governance is responsible for developing and implementing effective corporate governance practices that align with regulatory requirements and industry best practices. The role focuses on ADNOC’s Delegation of Authority framework, policies and procedures, and supports the design, monitoring and continuous improvement of governance systems.

Key responsibilities

• Provide technical advice on Delegation of Authority and governance policy development, including analysis of trends and preparation of evaluations.
• Participate in the regular review, update and drafting of corporate governance frameworks, operating models and related documentation.
• Define and ensure compliance with ADNOC Group’s authority hierarchy, acting as a second‑line defence on governance matters.
• Collaborate with internal stakeholders and external auditors to ensure compliance with reporting requirements and to foster strong governance relationships.
• Manage day‑to‑day governance subjects such as document control, policy amendments and publishing of standards.
• Support the design and delivery of training materials for boards, committees and secretaries on governance topics.

Required profile

• Bachelor’s degree in Law, Banking, Finance, Business Administration or a related field.
• Minimum 8 years of professional experience in a reputable international law firm, in‑house legal department, compliance or corporate governance function.
• Strong knowledge of best practices, codes, legislation and regulations applicable to PJSCs, LLCs and SPVs in the region.
