About the role
The Company Secretary will lead and manage the secretarial, corporate governance and reporting functions for Mediclinic Middle East and its entities, ensuring effective board and shareholder governance and compliance with statutory and regulatory requirements. The role provides expert guidance to the Board and Executive Management and supports corporate transactions across jurisdictions.
Key responsibilities
- Lead administration and governance of Board, Board Committee and shareholder meetings, including agendas, papers, minutes, resolutions and follow‑up actions.
- Provide expert company secretarial and corporate governance advice to the Board and Executive Management.
- Coordinate statutory, regulatory and corporate reporting and disclosure requirements across jurisdictions.
- Manage shareholder governance, statutory registers, corporate records, licences and registrations.
- Monitor changes in corporate laws and regulations and ensure organisational response.
- Support corporate transactions such as acquisitions, divestments, incorporations, branch establishments and liquidations.
- Draft and review commercial agreements, corporate legal documents, resolutions and powers of attorney.
- Coordinate external legal counsel, regulatory authorities and professional advisers.
- Oversee sustainability/ESG governance and reporting requirements.
Required profile
- Fellow Member of the Institute of Company Secretaries or a law degree; legal qualification and admission as an attorney is desirable.
- Minimum five years of company secretarial experience in a large, complex corporate environment, with proven expertise in corporate governance, board and shareholder administration, statutory compliance and corporate transactions.
- Experience coordinating with regulatory authorities, external legal counsel and service providers across multiple jurisdictions; healthcare sector experience is a plus.
Required skills
- Proficiency in MS Office applications.
- Strong drafting skills for legal and corporate documents.
- Expertise in meeting management and minute taking.
- Knowledge of UAE corporate laws and statutory document requirements.
