Independent Non-Executive Resident Director (INED) – Dubai

About the role

We are seeking a UAE resident to serve as an Independent Non-Executive Director for Hex Trust MENA, providing independent oversight, ensuring compliance with VARA and contributing to regional governance.

Key responsibilities

• Provide independent judgment on strategy, performance, risk management, regulatory compliance and corporate governance.
• Review board materials and actively participate in board, committee and general meetings.
• Execute statutory and VARA regulatory declarations to maintain fit‑and‑proper standing.
• Devote time to prepare for and attend four board meetings per year and be available for ad‑hoc meetings.

Required profile

• Legal UAE resident (Dubai preferred) with prior experience in similar non‑executive director roles.
• Strong understanding of UAE financial regulations, local corporate laws and VARA framework for VASPs.
• Full disclosure of conflicts of interest and meet VARA’s fit‑and‑proper requirements.
• Compliance with data protection, corporate confidentiality and anti‑bribery policies.
